1. Our contract with you
    1. These Terms of Business (as updated from time to time) apply to all services we provide to you. It is an important document—please read and keep it in a safe place for future reference.
    2. These Terms of Business are subject to change from time to time and are updated on our website (last updated 30.06.20).
    3. This contract and any dispute or claim arising out of, or in connection with, it, its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of England and Wales.

    2. Free2 Limited is authorised and regulated by the Financial Conduct Authority (FCA). We have a Firm Reference Number of 922094.
    3. Free2 Limited operates as an Appointed Representative of Principal Firm RS Consumer Finance Limited who have a Firm Reference Number of 792153.

    5. Where we say ‘we’, ‘us’ or ‘our’ in these Terms of Business, we mean Free2 Limited.
    6. Where we say ‘you’ or ‘your’ in these Terms of Business, we mean the individual clients of Free2 Limited and anyone authorised to give instructions on each client's behalf.
  3. Scope AND STANDARDS of our services
    1. We are a credit broker only. We do not provide any services as a funder, lender or provider of credit and we do not lend our own money.
    2. Our credit broker services are aimed at providing credit choices for those in retirement.
    3. Our services are limited to acting as a credit broker for the Over 55s Unsecured Loan offered by RS Consumer Finance
    4. We will provide these services to you with reasonable care and skill. However, we cannot guarantee that any application that you might make for credit will be accepted.
    5. We are tied to RS Consumer Finance Limited and we do not operate on a whole of market basis. We source appropriate credit choices for our clients from RS Consumer Finance Limited with whom we have a professional broker agreement.
    6. Please note that we do not provide legal advice and it is your responsibility to find and instruct an appropriately experienced solicitor for advice on entering into any credit agreement. We also do not provide taxation, fiscal or investment advice.
    7. If you decide to apply for credit through us, we will share your details with RS Consumer Finance Limited to the extent that they need to know such details for the purposes of evaluating your credit application and providing you with credit.
    8. We will update you by telephone or in writing (including by email) with progress on your credit agreement application regularly.

      What we expect of you

      • Treat you fairly and with respect, this includes ensuring that the information you provide us is kept in confidence.
      • Providing our services with reasonable skill and care and conducting our business in an ethical and compliant manner.
      • Communicate with you in plain language
      • Take any complaint seriously and deal with it in accordance with our complaints procedure outlined below.
      • Transparency in how we are remunerated for our services
      • Read all the documentation we provide you with and let us know if there is anything within those documents which (a) you do not understand and would like us to clarify and (b) you believe to be inappropriate to your needs.
      • Notify us if your circumstances change in any way which could affect the services we provide you with, unless you are under a formal legal obligation not to do so.
      • Notify us if your contact details change
      • Let us know about any other changes that may affect the way we provide you with our services
  4. OUR CHARGES
    1. We charge an arrangement fee for arranging any credit agreement that you enter into with RS Consumer Finance which is payable upon your entry into such credit agreement. This fee is £299.
    2. Our arrangement fee is refundable in the event that you decide to cancel your credit agreement with RS Consumer Finance Limited within 14 days of your entry into such credit agreement, apart from a £5 administration fee.
    3. Our arrangement fee will be added on to your credit agreement and will form part of your credit repayments direct to RS Consumer Finance Limited. RS Consumer Finance Limited will then pay us our arrangement fee from the credit repayments that you make over the term of your credit agreement.
  5. TERMINATING YOUR INSTRUCTIONS
    1. You may terminate this contract at any time by giving us notice in writing. If applicable, we can keep all your papers and documents while our administration fee remains outstanding.
    2. We will only decide to close your file with good reason, e.g. you no longer require our services, where we feel that the relationship has broken down, if you provide us with misleading information, or if you act in an abusive or offensive manner. We will give you reasonable notice before we close your file.
    3. If you or we decide that we should close your file and you have not successfully entered into a credit agreement, there will be no charge made to you.
    4. We are not responsible for reminding you about important dates and/or any deadlines after your file has been closed.
  6. OUR LIABILITY TO YOU
    1. Unless explicitly agreed otherwise, in writing:
      1. we do not owe, nor do we accept, any duty to any person other than you; and
      2. we do not accept any liability or responsibility for any consequences arising from reliance upon our services by any person other than you.
    2. We are not responsible for any failure to be approved for credit.
    3. Our maximum liability to you (or any other party we have agreed may rely on our services) in relation to any single matter or any group of connected matters which may be aggregated by our insurers will be £5,000,000 including interest and costs.
    4. We will not be liable for:
      1. losses that were not foreseeable to you and us when this contract was formed;
      2. losses not caused by any breach on the part of the firm;
      3. business losses, including losses sustained by any individual acting for purposes relating to their trade, business, craft or profession; and
      4. losses arising from or connected with our compliance with any statutory obligation which we may have, or reasonable belief we may have.
    5. Nothing in these Terms of Business shall exclude or restrict our liability in respect of:
      1. death or personal injury caused by our negligence;
      2. fraud or fraudulent misrepresentation;
      3. any losses caused by wilful misconduct or dishonesty
      4. any other losses which cannot be excluded or limited by applicable law;
    6. Please ask if you would like us to explain any of the terms above.
  7. CONFIDENTIALITY
    1. We will keep your information confidential, unless:
      1. you consent to the disclosure of that information;
      2. disclosure of the information is required or permitted by law
      3. disclosure of the information is required or permitted by the rules of the FCA; or
      4. these Terms of Business state otherwise.
    2. Unless you instruct us otherwise, email will be our default method of communication. We deploy a range of information security measures, but we cannot guarantee the security of information or documents sent by email. If you do not wish us to communicate information by email, please let us know.
    3. External organisations such as the FCA may conduct audit or quality checks on us from time to time. They may wish to audit or quality check your file and related papers for this purpose. We will require that these external organisations maintain confidentiality in relation to any files and papers which are audited or quality checked.
    4. Your files may also be reviewed in a due diligence exercise relating to the sale or transfer of all or part of our business, the acquisition of another business by us or the acquisition of new business. If you do not wish your file to be used in this way, please let us know as soon as possible.
  8. DATA PROTECTION
    1. We take your privacy very seriously and we are committed to protecting your personal data. Further information on how and why we collect, process and store your personal data is available in our Privacy Policy, a copy of which is available on our website at www.free2.com. It also explains your rights in relation to your personal data.
  9. CREDIT SEARCHES
    1. In the course of providing our services, RS Consumer Finance Limited may need to carry out a formal credit search on you. We will seek your prior approval before this occurs but please be aware that such searches are a standard part of a credit application and are often a pre-requisite to any credit being provided.
  10. COMPLAINTS
    1. We want to give you the best possible service. However, if at any point you become unhappy or concerned about the service we have provided you should inform us immediately so we can do our best to resolve the problem.
    2. In the first instance it may be helpful to contact the person who is working on your file to discuss your concerns and we will do our best to resolve any issues. If you would like to make a formal complaint, you can read our full complaints procedure here. Making a complaint will not affect how we handle your file.
  11. GENERAL
    1. These Terms of Business are between you and us. No other person shall have any rights to enforce any of its terms.
    2. Each of the paragraphs of these Terms of Business operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
    3. We may transfer our rights and obligations under these Terms of Business to another organisation. You may only transfer your rights or your obligations under these Terms of Business to another person if we agree to this in writing.
